The agreement between your company and ours.

This agreement

By creating an account or using Daxani you agree to these terms on behalf of your company. If you do not have authority to do that, do not create an account.

Daxani Technologies (“Daxani”, “we”) provides the platform at app.daxani.ai. Our privacy policy forms part of these terms.

What Daxani does

Daxani reads your public product information, identifies industries and countries that may buy what you make, finds candidate buyer companies, and drafts a first outreach email for each. If you connect your own mailbox, it can send an email you have approved.

Accounts are provided at our discretion, and access during a pilot or trial may be limited or withdrawn.

What we do not promise

Daxani produces suggestions from public information, not verified facts. Companies it identifies may not be buyers. Contact addresses may be out of date. Classification codes and country recommendations are informed guesses, and trade records come from third parties we do not control.

Check anything that matters before acting on it — particularly anything with customs, tax or contractual consequences. We do not give legal, tax or trade-compliance advice.

We do not promise the platform will be uninterrupted or error-free, and we do not promise any commercial result from using it.

Emails you send

You agree that you will:

• Read each draft before approving it, and correct anything inaccurate about your business.
• Only contact companies you have a genuine business reason to approach.
• Follow the marketing and electronic-communication laws that apply to you and to the person receiving the email.
• Honour any request to stop being contacted.

You must not use Daxani to send unlawful, deceptive, harassing or bulk unsolicited messages.

Your account

• Keep your password to yourself, and tell us promptly if you think someone else has it.
• Everything done through your account is treated as done by you.
• Do not attempt to reach another customer’s data, disrupt the service, or copy the platform’s output to build a competing product.
• Do not use automated means to extract data from the platform beyond ordinary use.

Who owns what

Your company information, your edits, and the emails you send remain yours. You grant us permission to process them only to provide the service.

The platform itself — the software, the methods, the interface — remains ours. Drafts generated for you are yours to use, including after you stop using Daxani.

Third-party services

Daxani depends on other services, including Google, to work. Connecting your Gmail account is also governed by Google’s own terms, and Google may change or withdraw that access independently of us. Our privacy policy sets out exactly what the mailbox connection permits.

Liability

To the extent the law allows, Daxani is not liable for indirect or consequential loss, lost profits, lost business or lost opportunities, or for the outcome of any email you chose to send.

Our total liability arising from these terms is limited to the amount you paid us in the twelve months before the claim, or, where the platform was provided free of charge, to a re-performance of the service.

Nothing here excludes liability that cannot lawfully be excluded.

Ending it

You may stop using Daxani and ask us to close your account at any time. We may suspend or close an account that breaches these terms, or that puts the service or other customers at risk.

On closure we delete your data as described in the privacy policy. Disconnecting your mailbox takes effect immediately and does not require closing your account.

Changes, and how to reach us

We may update these terms. The date at the top changes, and we will tell account holders about any change that materially affects them. Continuing to use Daxani after that means you accept the updated terms.
